This License implements the concept of true software ownership while protecting the rights of both parties. ## 1. Definitions **1.1. "Software"** means the computer program, associated documentation, and any updates provided under this License. **1.2. "Source Code"** means the human-readable form of the Software's programming code, including all associated interface definitions, files, scripts, and documentation. **1.3. "Usage Costs"** means any third-party expenses incurred through the use of the Software, including but not limited to API calls, hosting, and data storage. **1.4. "License Key"** means the unique alphanumeric identifier provided to the Owner upon purchase that activates and authenticates the Software. ## 2. Grant of Ownership **2.1.** Upon payment of the one-time purchase price, the Owner receives perpetual, irrevocable rights to: - Use the Software without any recurring fees to the Licensor - Deploy the Software for personal or business use with the provided License Key - Create backup copies of the Software - Modify the Software when Source Code access is granted under Section 4 **2.2.** The License Key is tied to the Owner's ownership rights and may not be shared, distributed, or used concurrently by multiple parties. ## 3. Usage Costs and Owner Responsibilities **3.1.** The Owner is responsible for all Usage Costs associated with operating the Software. **3.2.** The Owner must use their own API keys, hosting accounts, and other third-party services required for the Software's operation. **3.3.** The Owner agrees to comply with all applicable laws and third-party terms of service when using the Software. ## 4. Source Code Access **4.1.** The Licensor shall place the complete Source Code in escrow with GitHub. **4.2.** The Owner shall receive full access to the Source Code upon any of the following conditions: - The Licensor ceases business operations - The Licensor fails to provide critical security updates for more than 366 days - The Licensor breaches any material terms of this License - The Software is discontinued or support is terminated **4.3.** Upon Source Code release, the Owner receives a non-exclusive, perpetual license to: - Modify the Source Code - Deploy modified versions for personal or business use - Redistribute modified versions under a new brand ## 5. Updates and Support **5.1.** The Licensor will provide: - Security updates for a minimum of 12 months from purchase - Bug fixes for a minimum of 12 months from purchase - Technical support via GitHub Issues for a minimum of 12 months from purchase **5.2.** Feature updates are provided at the Licensor's discretion. ## 6. Business Transfer Protection **6.1.** This License remains valid if the Licensor's business is sold or transferred. **6.2.** Any successor to the Licensor must honor all terms of this License. **6.3.** The Source Code escrow requirements transfer to any successor. ## 7. Limitations and Disclaimers **7.1.** The Owner may not: - Redistribute the unmodified Software - Remove copyright notices or attributions - Use the Software's brand name if redistributing modified versions - Share or distribute their License Key **7.2.** THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED INCLUDING BUT NOT LIMITED TO FITNESS FOR A PARTICULAR PURPOSE. ## 8. Termination **8.1.** This License may only be terminated if the Owner breaches its terms and fails to cure the breach within 30 days of written notice. **8.2.** Upon termination, the Owner must cease all use of the Software and destroy all copies. ## 9. Governing Law and Jurisdiction **9.1.** This License shall be governed by and construed in accordance with the laws of the State of Texas. **9.2.** Any disputes arising out of or relating to this License shall be resolved through binding arbitration administered by JAMS in accordance with its Comprehensive Arbitration Rules and Procedures. The arbitration shall take place in Austin, Texas, and the proceedings shall be conducted in English. The arbitrator's decision shall be final and binding on both parties. ## 10.
